1. Agreement to Terms
Welcome to KLYX ("Company," "we," "our," or "us"). By accessing our website klyx.agency or engaging our digital marketing and web development services, you agree to be bound by these Terms and Conditions ("Terms"). Please read these Terms carefully before using our services.
If you do not agree to these Terms, you may not access our website or use our services. We reserve the right to modify these Terms at any time, and your continued use of our services constitutes acceptance of any changes.
2. Services Provided
KLYX provides comprehensive digital marketing and web development services, including but not limited to:
2.1 Digital Marketing Services
- SEO Optimization: Search engine optimization strategies to improve website visibility and organic traffic
- Social Media Management (SMM): Social media strategy, content creation, and community management across platforms
- Blog Management: Content creation, publishing, and optimization for blogs
- Digital Advertisement: Paid advertising campaigns across Google, Facebook, Instagram, and other platforms
2.2 Web Development Services
- Web Development: Custom website design and development using modern technologies
- Shopify Store/App Development: E-commerce solutions on Shopify platform including store setup, theme customization, and app development
- WordPress Development: WordPress website design, plugin development, and customization
- Workflow Automation: Business process automation and integration solutions
3. Service Delivery
3.1 Digital Service Delivery
All services provided by KLYX are digital in nature. There are no physical products shipped. Deliverables will be transferred electronically through:
- Email delivery of files and credentials
- Cloud storage links (Google Drive, Dropbox, etc.)
- Direct website deployment to client's hosting
- GitHub repository access or code delivery
3.2 Project Timelines
Project timelines vary based on scope and complexity. Estimated delivery timeframes will be communicated during project consultation. Timelines are subject to change based on:
- Timely client feedback and approvals
- Scope changes or additions
- Availability of required access and credentials
- Third-party dependencies (hosting, domain providers, etc.)
3.3 Revisions and Modifications
Revision policies are defined in individual service agreements. Additional revisions beyond the agreed scope may incur extra charges.
4. Payment Terms
4.1 Payment Methods
We accept payments through Razorpay, a secure payment gateway. Accepted payment methods include:
- Credit and Debit Cards (Visa, Mastercard, RuPay)
- UPI (Unified Payments Interface)
- Net Banking
- Digital Wallets
4.2 GST and Pricing
All prices are quoted in Indian Rupees (INR). 18% GST will be added to all service charges as per Indian tax regulations. Final invoices will clearly itemize:
- Base service cost
- GST (18%)
- Total amount payable
4.3 Payment Schedule
Payment terms are as follows:
- Project-based Services: 50% advance payment before project commencement, 50% upon completion
- Ongoing Services (SMM, SEO, Blog Management): Monthly advance payment
- Small Projects: 100% advance payment may be required
4.4 Late Payments
Services may be suspended if payments are not received within agreed timelines. Late payment fees may apply for overdue invoices.
4.5 No Hidden Fees
We maintain complete pricing transparency. Any third-party costs (hosting, domain registration, advertising budgets) will be clearly communicated and approved before being incurred.
5. Intellectual Property Rights
5.1 Client Ownership
Upon full payment, clients own all final deliverables, including:
- Website designs and code
- Graphics and visual assets created specifically for the project
- Content created by KLYX (unless otherwise specified)
5.2 KLYX Portfolio Rights
KLYX reserves the right to showcase completed projects in our portfolio, marketing materials, and case studies, unless a non-disclosure agreement (NDA) is in place.
5.3 Third-Party Assets
Any third-party assets (stock photos, fonts, plugins, themes) used in projects remain property of their respective owners and are subject to their licensing terms.
5.4 Pre-existing Materials
KLYX retains ownership of pre-existing code libraries, frameworks, and tools used in project development.
6. Client Responsibilities
To ensure smooth project execution, clients are responsible for:
- Providing accurate project requirements and specifications
- Supplying necessary access to websites, hosting, social media accounts, and advertising platforms
- Providing timely feedback and approvals on deliverables
- Ensuring all content provided (text, images, videos) does not violate copyright or trademark laws
- Maintaining valid hosting and domain registration for web projects
- Backing up their websites and data independently
7. Warranties and Limitations of Liability
7.1 Service Warranties
We strive to deliver high-quality services but cannot guarantee:
- Specific search engine rankings or traffic increases
- Specific social media engagement or follower growth
- Specific sales or revenue increases from marketing campaigns
- Uninterrupted website performance (dependent on hosting providers)
7.2 Limitation of Liability
KLYX shall not be held liable for:
- Loss of business, profits, or revenue
- Data loss (clients are responsible for backups)
- Third-party service failures (hosting, payment gateways, social media platforms)
- Search engine algorithm changes affecting SEO results
- Advertising platform policy changes or account suspensions
Our maximum liability is limited to the total amount paid for the specific service in question.
7.3 Force Majeure
KLYX is not liable for delays or failures due to circumstances beyond our control, including but not limited to natural disasters, pandemics, internet outages, or government restrictions.
8. Refund and Cancellation Policy
Our refund policy is detailed in our Refund Policy page. Key points include:
- Refunds available if project has not started (full refund minus processing fees)
- Partial refunds based on work completed for cancelled projects
- No refunds for completed and approved work
- Refund requests must be submitted to contact@klyx.agency
9. Termination
9.1 Termination by Client
Clients may terminate services by providing 15 days written notice. Payment for completed work and any non-refundable expenses will still be due.
9.2 Termination by KLYX
We reserve the right to terminate services if:
- Payments are not received as per agreed terms
- Client violates these Terms and Conditions
- Client requests work that violates laws or ethical standards
- Client engages in abusive or threatening behavior toward our team
10. Confidentiality
KLYX respects client confidentiality. We will not disclose confidential business information, proprietary data, or sensitive project details to third parties, except:
- With client consent
- When required by law
- To subcontractors or service providers bound by confidentiality obligations
11. Indemnification
Clients agree to indemnify and hold KLYX harmless from any claims, damages, or expenses arising from:
- Content provided by the client that infringes on third-party copyrights or trademarks
- Client's use of deliverables in ways not intended or approved
- Violation of these Terms by the client
12. Dispute Resolution
12.1 Informal Resolution
In the event of any dispute, parties agree to first attempt resolution through good-faith negotiations.
12.2 Mediation and Arbitration
If informal resolution fails, disputes will be resolved through mediation or binding arbitration in Delhi, India.
12.3 Governing Law
These Terms are governed by the laws of India. Any legal proceedings shall be conducted in the courts of Delhi, India.
13. Third-Party Services
Our services may integrate with or rely on third-party platforms and services (e.g., Google, Facebook, Shopify, WordPress, Razorpay). KLYX is not responsible for:
- Changes to third-party platform policies or APIs
- Service outages or disruptions of third-party platforms
- Account suspensions or bans by third-party platforms
14. Communication
By using our services, you consent to receive communications from KLYX via:
- Phone
- SMS/WhatsApp
- Project management tools
You may opt-out of marketing communications at any time while still receiving essential project-related updates.
15. Acceptable Use Policy
Clients agree not to use KLYX services for:
- Illegal activities or purposes
- Distributing malware, viruses, or harmful code
- Spam, phishing, or fraudulent schemes
- Hate speech, harassment, or discriminatory content
- Infringing on intellectual property rights of others
- Adult content, gambling, or other regulated industries (without prior disclosure and compliance verification)
16. Changes to Services
KLYX reserves the right to:
- Modify or discontinue services with reasonable notice
- Update service features, tools, and methodologies
- Adjust pricing for new projects (existing contracts remain unaffected)
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect.
18. Entire Agreement
These Terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement between KLYX and the client. Individual service agreements or proposals may supplement these Terms but do not replace them.
